Terms of Service

Draft for attorney review. Items in [brackets] must be completed before launch.

Last updated: [DATE]

These terms govern your use of ShipShield, a service of CloudOneSoftware LLC ("we", "us"), Jersey City, New Jersey, USA. By creating an account or using the service you agree to them.

1. The service

ShipShield runs automated checks on code, repositories and websites and reports possible security, privacy, accessibility and legal-readiness issues. Results are informational. Automated checks cannot find every issue. A high score is not a guarantee of security or of legal compliance, and ShipShield does not provide legal advice. You remain responsible for your software and your website's compliance.

2. Authorized use only

You may scan only code, repositories and websites that you own or are explicitly authorized to test. You must not use ShipShield to probe, attack or gather information about systems you do not control, to resell scan results about third parties, or to overload any service. We may suspend accounts that misuse live-site scans.

3. Accounts

You must provide accurate information and keep your sign-in method secure. You are responsible for activity under your account. You must be at least 18, or the age of majority where you live.

4. Plans, billing and cancellation

Paid plans are billed monthly in advance through Stripe and renew until cancelled. You can cancel at any time from Manage billing; access continues until the end of the paid period. Refunds are described in our Refund Policy. Prices are in US dollars and exclude applicable taxes. We will give at least 30 days' notice of price changes.

5. Your content

You keep all rights to your code and content. You grant us a limited licence to process it only to provide the service. We store scan findings with secret values masked, not your full source code (see the Privacy Policy).

6. AI features

AI explanations are generated by a third-party model provider from a finding and a short code snippet with secrets masked. AI output may be wrong; review every change before applying it.

7. Acceptable use

You must not reverse engineer the service to build a competing product, circumvent plan limits, share accounts, or upload malware.

8. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. [ATTORNEY TO REVIEW]

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, AND OUR TOTAL LIABILITY IS LIMITED TO THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM. Nothing in these terms limits rights you have under consumer law that cannot be waived. [ATTORNEY TO REVIEW]

10. Termination

You may close your account at any time. We may suspend or end access for breach of these terms, with notice where practical.

11. Changes

We will notify you by email or in the app at least 14 days before material changes take effect.

12. Governing law

These terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law rules. [ATTORNEY TO REVIEW, including consumer-venue rules for EU/UK customers]
